Project management success depends on numerous factors beyond our control, including organizational commitment, resource availability, and external market conditions.

4.2 Maximum Liability Cap

Our total aggregate liability to you for any claims arising from or related to our services shall not exceed the total fees paid by you to TaskFlow for the specific services giving rise to the claim, calculated over the twelve months preceding the claim.

4.3 Exceptions

These limitations do not apply to liability that cannot be excluded or limited under applicable law, including liability for gross negligence, willful misconduct, fraud, or personal injury caused by our negligence.

4.4 Basis of the Bargain

You acknowledge that these limitations of liability are reasonable and reflect the allocation of risk between the parties. Our service fees are based in part on these limitations, and you would not receive the same pricing without them.

5.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless TaskFlow, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from or related to your violation of these terms, your use of our services, your violation of any law or regulation, or your infringement of any third-party rights.

5.2 Defense and Settlement

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses. You may not settle any claim without our prior written consent.

7.1 Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

7.2 Jurisdiction and Venue

Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the competent courts of Limassol, Cyprus. By using our services, you consent to personal jurisdiction in these courts and waive any objection based on inconvenient forum.

Before initiating formal legal proceedings, the parties agree to attempt to resolve disputes through the following process:

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

8.2 Waiver

No waiver of any provision of these terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to assert any right or provision under these terms does not constitute a waiver of that right or provision.
